B. you agree to indemnify the SF Beat Box Parties from any
cost, liability, damages or expense incurred by any of them
relating to or in connection with any of the Resale Merchandise;
C. all other terms and conditions of the Agreement remain in full
force and effect, including all Prohibited Uses.
Items for Resale (physical or digital) – Exclusive Rights
You shall be entitled with respect to this specific Content to
produce an unlimited number of items for resale, license, or
other distribution in or on which the Content is used or displayed
(the “Resale Merchandise”), provided that you agree to indemnify
the SF Beat Box Parties from any cost, liability, damages or
expense incurred by any of them relating to or in connection with
any of the Resale Merchandise.
All restrictions for use are removed except those outlined above.
All rights pass to the purchaser except those pertaining to
publishing rights, which will be negotiated on a per composition
basis, with regard to each composer(s) involved in the
manufacture of the original composition. You will receive a
copy of all relevant files pertaining to the composition in any and
all formats requested, within the ability of the SF Beat Box
Parties and/or the original composer. This includes but is not
limited to:
A. pertinent session files from Pro Tools, Sonar, Logic, Fruity
Loops, etc., used in the production of each composition, where
available,
B. pertinent source files for sounds used in each composition,
where available and,
C. pertinent info about each composition with regard to U.S. or
International copyright law.
When the Exclusive Rights option is chosen, the composition and
any info pertaining to it will be removed from SF Beat Box.com
and will no longer be for sale to any other parties.
